No halt - apm: bios not found

Hi
I when I installed Vector on the second computer in our house(Dell Dimension XPS D333), I found that I couldn't completely halt the system:
when I do

shutdown -h now from TUI or push the shut down button from X, that's what I receive:

...
[b]The system is going to Halt[/b]
apm: bios not found
md: stopping all md devices
Shutdown: hda
System halted.
and it stays this way whatever I do. The only way to completely halt the system - push the power button.

here's what I tryed:
1)adding "apm=power-off" to lilo.conf append lines and then running lilo -v
2)adding "apm=on apm=power-off" to it.
3)adding "acpi=force " with and without "pci=noacpi " to it.

but nothing happened. still have no shutdown.

also interesting thing:
I have no bootsplash when I add "splash=silent" to append line and running lilo -v

searched http://www.linuxquestions.org and tryed out these:

root:# modprobe apm
FATAL: Error inserting apm (/lib/modules/2.6.22.14/kernel/arch/i386/kernel/apm.ko): No such device

also people there quite frequently asked for outputs of "ps aux | grep acpi" and "ps aux | grep apm", so I'll include them here, too.

also I am thinking about kernel and/or bios upgrade, if it could help.

one more thing:
in bios I turned off bios power management, because I have read it helped someone with similar problem. still have no result.
